CONSTITUTION & BY-LAWS

Constitution
ARTICLE I
NAME
Section 1.01
- This Chapter has been designated as CARSON VALLEY CHAPTER #72 by the GRAND CHAPTER,
INTERNATIONAL FOOTPRINT ASSOCIATION, INC., and shall be known as such.
ARTICLE II
PURPOSE
Section 2.01
- The Chapter's powers and purpose shall be to carry out and fulfill the objectives and
ideals of this Association as set forth in the Grand Chapter By-Laws, as well as any and all objectives and ideals of this Chapter.
ARTICLE III
DEFINITIONS
Section 3.01
The International Footprint Association shall hereafter be referred to as the Association or
as the Grand Chapter.
Section 3.02
Carson Valley Chapter #72 shall be referred to as the Chapter.
Section 3.03
The Chapter Board of Directors shall be referred to as the Board.
Section 3.04
The term "Peace Officer" as used herein shall have the same meaning as that described in
Article VIII, Section 8.1 of the Grand Chapter By-Laws; namely, "...Judges, Police Officers, Sheriffs, Firefighters, Federal Law Enforcement
Officers, and all others employed by a governmental entity to enforce the law or preserve the peace and which include retired personnel thereof."
ARTICLE IV
JURISDICTION
Section 4.01
This Chapter claims jurisdiction throughout the area of Carson City, Churchill, Douglas, Lyon,
Storey, and Washoe Counties in Nevada, and all other territory allotted to this Chapter by the Grand Chapter.
ARTICLE V
INCONSISTENCY
Section 5.01
If any of the provisions of this Constitution and By-Laws are found to be inconsistent
with the Grand Chapter By-Laws, the latter shall supercede and take precedence over those of this Chapter.
ARTICLE VI
AMENDMENT
Section 6.01
This Constitution, and the By-Laws that follow, may be amended by a 2/3 majority of the
general membership in attendance at any regular meeting, or any special meeting of the Chapter called for such purpose, provided that
written notice of such proposed amendment is transmitted to the membership in the official bulletin or newsletter at least ten (10) days
prior to such regular or special meeting.
By-Laws
ARTICLE I
OFFICERS, BOARD OF DIRECTORS
Section 1.01
The officers of this Chapter shall consist of the following: President, 1st Vice President,
2nd Vice President, Secretary, Treasurer, Sergeant-at-Arms, Grand Board Member, and Immediate Past President.

Section 1.02
The powers of this Chapter shall be vested in a Board of Directors, consisting of the President,
1st Vice President, 2nd Vice President, Secretary, Treasurer, Sergeant-at-Arms, Grand Board Member,
Immediate Past President, and any number of other directors. A permanent position on the Board will be accorded to all Past
Grand Presidents who are or may become regular members of this Chapter. (Revised 8/99, 3/04, 3/08, 3/21)
Section 1.03
All officers and members of the Board shall be members in good standing, holding paid up membership
in the Association, and acting without compensation except as provided in Section 2.03 of these By-Laws.
Section 1.04
A quorum at a Board of Directors meeting, to transact any business of the Chapter, shall consist of
a simple majority of the Board, but must include the President or 1st Vice President and the Secretary.

Section 1.05
To provide for continuity on the Board, the non-officer directors, referred to in Section 1.02
as "…and any number of other directors", shall serve staggered three-year terms. (Revised 3/08)
ARTICLE II
ELECTIONS
Section 2.01
The President shall appoint a Nominating Committee in February of each year, said committee to
make its recommended nominations at the regular March meeting. Additional nominations may be made from the floor at the March meeting after the
Nominating Committee report. Election of officers and directors shall be held at the regular April meeting.

Section 2.02
Officers and directors shall be elected by a majority of the votes cast at such election.
Voting need not be by secret ballot unless a majority of those present to vote indicate a preference to do so. Officers and directors so elected
will take office on July 1.
Section 2.03
All officers and directors shall perform their duties without compensation except the Secretary
and/or Treasurer, who may be salaried if authorized by the Board. (Revised 3/21)
Section 2.04
When a vacancy occurs in the office of President, the 1st Vice President shall
automatically assume the office of President for the unexpired term. The 2nd Vice President shall automatically become the 1st Vice
President for the unexpired term. When a vacancy occurs in any other office (Officer and Director), including the 2nd Vice Presidential
vacancy occurring when that person assumes the 1st Vice Presidency as heretofore described, the President shall appoint a replacement
to fill the unexpired term, with the advice and consent of the Board. (Revised 3/04)
ARTICLE III
CONVENTION DELEGATES
Section 3.01
All chapters in this Association shall be represented at the annual convention or special
meeting of the Grand Chapter by one delegate-at-large, and one regular delegate for each one hundred members or fraction thereof. These delegates
are in addition to the elected Grand Board Member from each chapter, and any Past Grand President or current Grand Officer who happens to be a
member of a particular chapter.
Section 3.02
The delegate-at-large and regular delegate(s) along with one alternate for each, shall be
appointed by the Board. Subject to approval by the Board, they may have their registration fees, and transportation and lodging costs reimbursed
by this Chapter, but not to exceed the actual expenses incurred.
Section 3.03
In addition to the annual convention, the Grand Board of Directors holds a regular annual
meeting in February each year, known as the "Mid-Winter Meeting." Subject to approval by the Board, this Chapter's Grand Board Member may
have his/her transportation and lodging costs reimbursed by the Chapter, unless the Grand Board Member is already authorized per diem payments
by virtue of concurrently being a past or current Grand Officer. Any Chapter reimbursements shall not exceed actual expenses incurred.
ARTICLE IV
MEMBERSHIP
Section 4.01
There are three classes of membership in the Association:
- Regular members
- Associate members
- Life members
Section 4.02
Regular members of this Association shall be either peace officers, as defined in this
Chapter's Constitution, Article III, Section 3.04, or other persons sympathetic to law enforcement, who
- are over 21 years of age,
- are of good moral character,
- reside within the jurisdiction of this Chapter, and
- support the laws and Constitution of the United States.
Section 4.03
Members in good standing in their home Chapter may become associate members of this Chapter.
Associate members of this Chapter, as long as they remain in good standing in their home Chapter, shall have all the rights and privileges as
regular members, except they may not vote, hold office, or be a delegate to the annual convention from this Chapter. Associate members are
not counted as active members for delegate count purposes.
Section 4.04
Life membership may be conferred upon a regular member in good standing who has rendered a
long period of outstanding distinguished service to the Association. Such prospective life member must be nominated by a regular member at
a regular monthly meeting, and be voted upon by the membership. A majority of those voting is required to confer life membership on the nominee.
Life members shall have all the rights and privileges of regular members.
Section 4.05
Any applicant for regular membership, who has been convicted of a felony or a crime involving
moral turpitude shall have his/her situation reviewed by the Board prior to any vote or other action by the general membership.
Section 4.06
All applications for regular membership shall be signed by at least two members in good
standing, and accompanied by the designated initiation fee, if any, and the first year's dues. The application may be referred to the Board for
investigation if deemed necessary. If accepted for regular membership, the Secretary will notify the applicant that he/she has been accepted,
and the date and place when the Oath and Obligation of New Members will be administered. Upon being duly initiated, the new member will receive
the official membership card. (Revised 3/21)
ARTICLE V
DUTIES OF OFFICERS
Section 5.01
The PRESIDENT shall be the chief executive officer of the Chapter, and shall preside at all
membership and Board of Directors meetings. He/she shall exercise general control and supervision over the affairs and conduct of the Chapter.
He/she shall regulate the order of business and debate at all meetings in accordance with usual and customary parliamentary procedure, using
Roberts Rules of Order as a general guideline. He/she shall appoint all committees necessary to conduct the business of the Chapter.
Section 5.02
The 1st VICE PRESIDENT, in the absence of the President, shall perform the duties
of the President. He/she shall perform such other duties as assigned by the President or the Board of Directors.

Section 5.021
The 2nd VICE PRESIDENT shall assist the President and 1st Vice President
in the conduct and performance of their duties. He/she shall perform such other duties as assigned by the President or the Board of Directors.

Section 5.03
Section 5.031
The SECRETARY shall keep a record of the proceedings of all membership and Board of Directors
meetings.(New 3/21)
Section 5.032
The TREASURER shall receive and account for all funds of the Chapter. He/she shall keep all
funds maintained in bank accounts or other financial institutions approved by the Board. He/she shall render a complete statement of the assets
and liabilities when requested by the Board. (New 3/21)
Section 5.033
The office of SECRETARY and TREASURER may be combined by the Chapter when approved by the \
membership. (New 3/21)
Section 5.04
The SERGEANT-AT-ARMS shall maintain and preserve order at all times during membership and
Board of Directors meetings. He/she shall perform such other duties as assigned by the President.
Section 5.05
The GRAND BOARD MEMBER is the Chapter representative to the Grand Board of Directors,
whose duties are prescribed in Article V of the Grand Chapter By-Laws. The collective Grand Board of Directors shall have general supervisory
charge of the business affairs of the Grand Chapter, and the overall policies of the entire Association, including Subordinate Chapters.
Section 5.06
The IMMEDIATE PAST PRESIDENT shall be advisor to the current officers and directors of the
Chapter, and shall provide such guidance and assistance that may from time to time be requested of him/her.
ARTICLE VI
DUTIES OF BOARD OF DIRECTORS
Section 6.01
The Board shall have the power to conduct, manage and control the affairs and business of the
Chapter, and to make rules and regulations not inconsistent with the Association's By-Laws, or the Constitution and By-Laws of this Chapter,
for the guidance of officers and the management of the affairs of the Chapter.
Section 6.02
The Board shall review all requests or proposals for any non-budgeted expenditure which
exceeds $200 originating from the membership or outside the Chapter, and make its recommendation to the membership. The final decision on any
such request or proposal rests with the membership. (New 8/99)
ARTICLE VII
DUES
Section 7.01
The annual dues for membership in this organization shall be uniform for all regular members.
Life members shall pay that portion of the regular yearly dues that are not retained by the Chapter. Associate members shall pay dues in an amount
up to the regular membership dues minus the national per capita tax. The actual amount of such dues shall be determined by the Board of
Directors.
Section 7.02
Initiation fees, if any, shall be determined by the Board. The amount of Chapter dues shall
be determined by the Board, subject to the approval of the membership.
ARTICLE VIII
DELINGUENT MEMBERS
Section 8.01
Any member who fails to pay his/her annual dues within three (03) months after the same
falls due shall be automatically dropped from the membership rolls of the Chapter. (Revised 2/00)
Section 8.02
The Board may reinstate any delinquent member under such rules as they may prescribe by
majority vote.
ARTICLE IX
OFFENSES AND GRIEVANCES
Section 9.01
Conduct unbecoming a member of this Association shall be defined as:
- conviction of a felony, or
- conviction of a crime involving moral turpitude, or
- conduct which violates the By-Laws of the Grand Chapter or this Chapter.
A crime of moral turpitude is one which involves inherent baseness, vileness, depravity, corruption, or other despicable behavior.
Section 9.02
A charge of conduct unbecoming a member of this Association against the Chapter President or an
officer of the Grand Chapter must be filed with and heard by the Grand Chapter.
Section 9.03
A charge of conduct unbecoming a member of this Association against all other members must be filed
with the Secretary of the Chapter where the charge is brought. Any member in good standing is eligible to prefer charges. Within ten (10) days
thereafter, the Board shall appoint three regular chapter members in good standing as a tribunal to hear and make a determination of the charges.
Such hearing and determination shall occur within thirty (30) days after appointment, unless continued for cause. The tribunal shall have the power
to suspend or revoke the membership of the member so charged. Its decision shall be pronounced in writing, stating its reasons therefor.

Section 9.04
An accused shall be entitled to be represented by counsel, and shall have the right to
cross-examine witnesses against him/her, and produce his/her own witnesses whether such witnesses are or are not members of the Association.
Section 9.05
This Chapter shall not entertain charges of conduct unbecoming a member of this Association for
an offense committed before the member applied for membership in the Association. If, however, the member withheld any information during the
application process which would have resulted in the rejection or disqualification of the application, the member may be subjected to accusation
and trial according to these By-Laws.
Section 9.06
The proceedings before the Chapter tribunal shall be reported by a competent reporter, and
shall be transcribed upon request. Any costs associated with the transcription shall be borne by the requestor of the transcription.
Section 9.07
The Grand Chapter Executive Committee, as defined in Article VI of the Grand Chapter By-Laws,
is the designated Board of Review for appeals from actions taken by the Chapter tribunal. The suspended or expelled member may appeal to the
Executive Committee for a hearing within thirty (30) days after receipt of notice of suspension or expulsion by the Chapter. Their procedure
is described in Article XI, Section 11.3 of the Grand Chapter By-Laws, and their decision is final.
